908 FLYING CLUB, INC FLYING RULES

 IMPORTANT If the plane has a squawk, please write it on the Squawk Sheet. If you consider it a significant problem call the Maintenance Officer at the number posted on the board using the phone in the hanger!

1. All members of the Club shall comply with all FAA regulations, state, airport, and Club roles while operating Club aircraft.

2. Any violation of Club rules makes the member liable to a temporary flight suspension of not more than thirty (30) days, a monetary fine not to exceed Fifty Dollars ($50.00), or both. Repeated violations shall result in a recommendation by the Board of Directors that the member be expelled from the Club.  See 908 Flying Club By-Laws.

3. No member may solo any Club aircraft unless he (she) has flown the type within the last ninety (90) days or has received a checkout with a Club approved instructor.

4. All members must maintain a valid medical certificate and current bi-annual review. A copy will be furnished to the Vice President after each update.

5. A member must perform a thorough pre-flight inspection of the aircraft including a visual inspection of the fuel quantity prior to the commencement of any flight. All damage or discrepancies discovered by a member will be assumed to be the responsibility of the last recorded user unless previously reported to the Aircraft Maintenance Officer (AMO). If a condition is discovered which may affect the airworthiness of the aircraft, a member shall place a GROUNDED sign inside the aircraft and call the AMO. The aircraft shall not be flown until cleared by the AMO.

6. A member must ascertain that the airworthiness and registration certificates, current weight and balance, appropriate operating limits information, and operator’s manual are aboard the aircraft prior to flight. For International flights, a radio station license is also required.

7. All aircraft operating limitations shall be observed. Aerobatic maneuvers are prohibited.

8. Scheduling of time for use of the aircraft must be recorded on the website provided. Members will be furnished with appropriate names and passwords. Trips that exceed two hours in length must contain an adequate description, which will allow the Club officers to determine the general whereabouts of the plane. All full day, overnight or longer trips must also include contact phone numbers so that member may be reached in cases of emergency. Failure to do so may incur usage restrictions as determined by the Board.

9. A flight plan must be filed with the FAA for all extended over water flights, including any trip to the Bahamas.

10. Use only airports listed in the AIM Airport Directory, or AOPA Airport Directory for airports shown on current sectional charts. Pilots with less that 100 hours total time are restricted to runways of at least 2,000 feet in length.

10. Except in an emergency, Club aircraft shall be flown from and landed only upon airfields listed on current sectional charts or in the AOPA Directory. Any member with less than sixty (60) hours total flying time who is forced by an emergency to land upon an unapproved field must obtain the approval of the President, or other Club Officer in the absence of the President, before attempting a takeoff from such field. This Officer shall decide whether the member may attempt takeoff alone or wait until a more qualified member pilot is available to assist in the takeoff.

12. No member may fly Club aircraft after sunset unless rated for night flying.

13. Smoking is not permitted in Club aircraft.

14. All tanks must be topped off after each flight. The Board will assess a penalty for non-compliance.

15. Aircraft will be returned to the hangar after completion of a flight unless the person next scheduled to fly is on hand and has verbally assumed responsibility.

16. Upon completion of any flight, the pilot will tidy up the aircraft. All trash will be removed, seat belts joined and straightened. The pilot will also consider the need to clean the leading edge of wings, and rudder, vacuum the interior, and clean the windows. The Club hangar will be properly secured and locked.

17. No member except the AMO may perform maintenance upon any Club aircraft, other than pre-flight inspection, without authorization from the AMO.

18. Club aircraft may not be used to give flight instruction to anyone except other Club members.

19. When aircraft is kept away from Fort Pierce overnight, a member will be expected to pay a minimum of one (I) hour rental per day Monday through Friday and two (2) hours rental per day Saturday, Sunday, and Holidays. Days generally begin before noon and end after the noon hour. Each circumstance will be decided by the Treasurer, subject to Board approval if the member objects.

 

908 FLYING CLUB, INC.
By-Laws

Article I: NAME
The name of the organization shall be 908 FLYING CLUB Incorporated.

Article II: LOCATION OF OFFICE
The office for the transaction of all business shall be located in Ft. Pierce, Florida.

Article III: PURPOSE
The purposes of this not-for-profit club are:
A) Promote and encourage the sport and hobby of recreational flying.
B) Promote aviation safety by encouraging aviation education.
C) Co-operate with and assist agencies in the development of programs
relating to aviation.

Article IV: MEMBERSHIP
Section 1. ELIGIBILITY
A) Any person who is of good moral standing and is a member of EAA
Chapter 908 may apply.
B) Any eligible person wishing to become a member must notify the Club
in the prescribed manner and pay appropriate membership dues.
C) The applicant must agree to a credit and background check and provide an
employment history, if requested
D) The applicant must attend a personal interview with the board, if requested
E) The applicant must hold a private pilot or higher rating, a current bi-
annual review, and a valid medical certificate. A copy of each shall accompany the membership application.
F) Each applicant must be approved by the Board of Directors. In the event that the Board of Directors votes disapproval, the applicant can appeal to the general membership in which case a two-thirds vote is required for approval.
G) A new member must complete a check ride in the 908 Flying Club aircraft prior to scheduling personal flights. The check ride must be performed by a Club approved FAA CFI and a log book endorsement will be made. The member will then make a copy of the endorsement and provide it to the Club Secretary.

Section 2. CLASSIFICATION OF MEMBERSHIP
A) Regular Members
All share holding members are eligible to attend meetings of members and vote in
proportion to the number of shares owned.
B) Honorary Members
From time to time the 908 Flying Club membership may desire to include individuals as members but not require ownership in the Club of this individual. Upon the positive vote of the majority of the membership voting at a regularly scheduled meeting a former member of the Club may be elected as an Honorary Member. Honorary Membership status may be revoked in a similar manner. Honorary membership would allow the individual to hold elected office, serve as appointed officer and, with the approval of the Maintenance Officer, or, in his absence, the President, move the Club aircraft for Maintenance. These individuals, with the agreement of our insurance Company, will also be allowed to fly the aircraft for introductory flights with the approval of the Vice President, or the President. Further, Honorary Members may also fly the aircraft, if the Honorary Member is current and has received prior Presidential approval.

 

Section 3. DURATION OF MEMBERSHIP
Membership shall continue as long as the member fulfills all requirements for membership. In the event that the member’s share value falls less than zero, the member will be so advised and have 30 days to correct the situation. After 30 days, the member’s share will be cancelled.

Section 4. MEMBER PAYMENTS
A) Each member shall be assessed monthly dues to be determined by the Board, said dues to be payable one(l) month in advance, due on the first day of each month. The amount of the dues may be changed from time to time but will be limited to the fixed costs of owning the aircraft.

B) The hourly usage rate will be determined by the Board. Members will be notified by the Treasurer, on the last day of the month, their accumulated flight hours and will be billed accordingly. The hourly rate may be changed from time to time but will be limited to the operating costs of the airplane, including Maintenance, an Overhaul Reserve, and an Avionics Replacement Reserve.

C) Any member who has failed to pay the dues, hourly charges, or any other sum due the Club within forty (45) days after said sum shall be due, shall be considered to be a delinquent member and shall be suspended from flying privileges or any other Club activities. Unless suitable arrangements have been made with the Board, delinquency in excess of one hundred and eighty (180) days shall be considered to indicate intention to withdraw from the Club.

D) Any member whose uncollected account is in excess of six (6) months in arrears will be contacted by the President or designee, and if the account remains unpaid for a total of nine (9) months, the member will be declared delinquent and their share forfeited without compensation.

E) No member may authorize expenditures or otherwise incur financial obligations in the name of the Club except as expressly provided for in these roles or other regulations duly promulgated by the Club membership.

F) Members will be reimbursed for any expenditure not in excess of two Hundred Fifty Dollars ($250.00) when such expenditure must be made upon Club aircraft in order to safely return said aircraft to Fort Pierce Airport. Board approval must be obtained before any repairs are undertaken which will exceed this amount.

Section 5. EXPULSION OF MEMBERS
Any member deemed undesirable by acts or deeds that are considered to in any way jeopardize the Club, may be expelled from membership at any properly published meeting by a two-thirds vote of the total membership.

Section 6. RESIGNATION

The Club is comprised of equal members. Each member has a share representing the members’ ownership in the aircraft. Each member, upon deciding to resign from the Club, is responsible for finding a replacement member. Resignations are required to be in writing addressed to the Club. Each existing member of the Club is encouraged to be aware of the need to enlist new members. The Club is not required to find a new member for the resigning member nor purchase the share from the resigning member. Approval of new members by the remaining members of the Club is covered elsewhere in this document. The replacement member, after approval, will submit all required documentation and make payment to the Club before flying privileges are granted. The Club will refund the share equity to the resigning member, after deduction of any outstanding amounts owed to the Club for dues, hours flown, and all other charges that were levied to the member that remain unpaid. Dues, charge in lieu of flying (minimum hours charge) and all other charges continue to be the responsibility of the resigning member until the replacement member has been inducted. The resigning member may privately negotiate a different price with the replacement member; however, any settlement due, as a result of that negotiation, will be outside the responsibility of the Club.

Section 7. MEMBERS PER AIRCRAFT
There shall not be more than twenty members per aircraft that are owned by the Club.

ARTICLE V: FEES
A) All rates and fees shall be determined by the Board of Directors.
B) All payments shall be made to the Club Treasurer.
C) A minimum of twenty-four (24) hours of flying time must be logged per annum per member. Any deficiency in this total must be paid for at the current flying rate to the Treasurer. The annual period is from January 1 to December 31.
D) Members joining during the current year will be prorated based on actual whole months being a member during the year.

ARTICLE VI: OFFICERS
Section 1. EXECUTIVE OFFICERS
A) The executive officers of this Club shall be a President, Vice President, Secretary, and Treasurer or combined Secretary/Treasurer.
B) The term of office shall be for two (2) years.
C) Elections for these officers shall be held at the October meeting.
D) The officers may be bonded as determined by the Club. The bond premium shall be at the expense of the Club.

Section 2. PRESIDENT
The President shall be the Chief Executive Officer of the Club and of the Board of Directors.
The President may call special meetings of the Board and of the members.
The President will be subject to the advice of the directors in all matters relating to the business of the Club.
The President shall along with the Secretary, execute all contracts and instruments, which have been approved by the Board. In the case of the absence or disability of the Treasurer, the President may execute any necessary checks to cover authorized expenditures.

Section 3. VICE PRESIDENT
The Vice President shall be vested with all of the powers and shall perform the duties of the President in the case of the absence, disability, or inability of the President to perform the duties of his or her office.
The Vice President will be responsible for recruiting new members.
The Vice President will, along with the President, assist current members in selling their shares to new members. However, the primary obligation to sell existing member share resides with the member leaving the club.
The Vice President will, along with the Secretary maintain a roster of club members. Further, the Vice President will collect and retain a copy of each member’s pilot certificate, current medical certificate and biannual flight review endorsement. The Vice President will also review the past history of each members flying experience. In the event the Vice President decides that additional training or experience is necessary, the Vice President will notify the member of needed additional training.

Section 4. SECRETARY
The Secretary shall be responsible for:
A) the taking and publishing of the minutes at all meetings of the Club.
B) giving notice of all meetings to the members and the Board.
C) keeping a proper membership book showing names, address and telephone number of each member.
D) maintaining copies of the By-Laws and such other documents as directed by the Board.
E) executing, along with the President, in the name of the Club, all contracts and instruments that have been approved by the Board.

Section 5. TREASURER
The Treasurer and the President shall execute in the name of the Club, all checks for expenditures approved by the Board.
The Treasurer shall:
A) receive and deposit all funds due the Club in a bank selected by the Board. Funds shall be paid out only by means of checks provided for that purpose.
B) account for all receipts, disbursements and the balance of funds on hand or on deposit.
C) be authorized to expend Club funds in payment for all normal costs, which do not exceed the budget as approved by the Board
D) obtain approval of the Board for any other expenditure in excess of Five Hundred Dollars ($500.00). .
E) perform such other duties as are incident to the office, subject to the direction of the Board.

Section 6. AIRCRAFT MAINTENANCE OFFICER
The Aircraft Maintenance Officer (AMO) shall:
A) be responsible for maintaining current information in the logbooks of the aircraft.
B) be responsible for ensuring that the aircraft are kept in airworthy condition, by or under the supervision of a properly certified A&P mechanic, and for obtaining all inspections and major overhauls and for compliance with all Service Bulletins and Airworthiness Directives applicable to Club aircraft.
C) be responsible for ensuring that all required documentation is available and current.
D) authorize work to be done upon Club aircraft in an amount not to exceed Five Hundred Dollars ($500.00) without approval of the Board. The AMO shall consult with the Treasurer before authorizing work to be done to determine that sufficient funds are available.

Article IX: ELECTION OF OFFICERS
A) A nominating committee consisting of Club members at large will be formed during the May meeting of election years.
B) Selections of the nominating committee shall be published at the September meeting of that year.
C) Nominations from the floor shall be accepted prior to the election at the October meeting.
D) Election to office shall require a simple majority vote of the members present.
E) In the event that an office becomes vacant, the remaining members of the Board of Directors can nominate and elect members to fill such vacancy.

F)

Article VII: BOARD OF DIRECTORS
A) The powers, business and managing of the property of the Club shall be exercised, conducted and controlled by a Board of Directors.
B) Such Board shall be comprised of :
1) The President, Vice President, Secretary, Treasurer, and
Maintenance Officer.
2) Such other members as may be appointed by the President, subject to the approval of the Board.
C) The President shall preside over the Board.
D) In the case of a vacancy occurring, the President shall appoint a replacement
subject to the approval of the remaining Board members.
E) Meetings shall be called at any time by the President or by a majority of the members of the Board. Notice of special meetings stating the time, place, and subject(s) to be discussed shall be given personally or mailed to the directors at least forty-eight (48) hours in advance. In the event that all directors shall be present, a meeting may be held without prior notice. A majority of the Directors shall constitute a quorum at any meeting and the affirmative vote of those present shall be required to pass any resolution or authorize any act on behalf of the Club.
F) Members of the Board shall serve without compensation whatsoever.
G) The Board of Directors shall have the power and authority to promulgate and enforce all rules and regulations pertaining to the use and operation of Club property and to perform or cause to be done and performed, any and every act which the Club may lawfully do or perform.

Article VIII: MEETINGS OF MEMBERS
A) All meetings of member, except as herein otherwise provided, shall be held at a time and place as determined by the President. Notice shall be by mail or telephone to each member in good standing.
B) Notice of any Annual meeting or meeting at which elections of Officers may be held, shall be notified in a recognized publication of the Club before any such meeting.
C) Special meetings may be called at any time by the President or by a majority of the
members of the Board. Notice of and business to be discussed shall be given as in "A)" above.
D) A quorum shall consist of at least six (6) voting members in good standing represented either in person or by proxy.
E) The President or if absent, the Vice President, or in the absence of both, a President pro-tem elected by the members present, shall preside over and call the meeting to order.
F) Each member shall have one (1) and only one vote at any meeting. Such vote may be by proxy in the case of the absence of the member.
G) A simple majority of the votes or members present or represented by proxy shall be necessary for the adoption of any resolution, unless otherwise specified herein.

Article IX: AIRCRAFT ACCIDENTS
A) A Safety Board shall be designated by the Board of Directors for each and every aircraft accident involving any member of the Club or any aircraft belonging to the Club, provided that such accident resulted in damage to equipment or property in excess of five hundred ($500.00) dollars.

B) The Safety Board shall consist only of members who were not involved in the accident being investigated.

C) The Safety Board shall take all steps necessary to ascertain the facts, condition, and circumstances of the accident, shall arrive at conclusions regarding the probable cause and responsibility for the accidents and shall make known to the Board of Directors and to all parties involved its findings, in written form, within thirty (30) days of its formation.

D) The Safety Board shall recommend to the Board of Directors whether or not the member or members involved should be assessed the amount of the insurance deductible.

E) The Board of Directors, upon receipt of the findings of the Safety Board, shall offer a hearing to all parties involved. After the hearing, or if the hearing is waived by the parties involved, the Board of Directors shall determine the financial responsibility. The decision of the Board shall be final.

F) No member shall be assessed a sum greater than five-hundred ($500.00) dollars for any one accident, unless the damage results from a violation that renders the Club insurance invalid. In such case, the member or members shall be responsible for the full amount of the loss or damage.

G) All financial obligations imposed upon a member as a result of the decision of the Board shall be satisfied within the terms as set forth by the Board, otherwise the Board shall proceed with legal means to obtain the unsatisfied amount.

Article X: AMENDMENTS
These By-Laws may be repealed or amended, or new By-Laws may be adopted at any dully called and conducted meeting of the members by a two-thirds affirmative vote of the members present or represented by proxy.

Article XI: FLIGHT PROFICIENCY PROGRAM
The Board shall develop or cause to be developed a Flight Proficiency Program for all members to include but not necessarily limited to periodic check rides with flight instructors approved by the Board, minimum flight hours per month, minimum number of landings per month, and periodic refresher seminars. The program must be approved by a majority of the Board. The program will take into account individual member's experience and proficiency with the type of aircraft to be flown.

Article XII: SURPLUS
The net savings or surplus remaining after all costs and expenses have been paid shall remain in the Club's treasury for the purchase of new equipment or aircraft, engine overhaul, or contingencies.

Article XIII: DISSOLUTION OF THE CLUB
In the event that the Club shall become inactive or disbanded, all Club assets shall be distributed equally among all shareholders on a per share basis.
